II. The Company
In Q1 of 1999, GoldMine Software Corp. and Colorado Springs-based Bendata, Inc., a leading mid-market Customer Service and Support vendor founded in 1982, jointly announced an agreement to merge their organizations in Q2 of 1999. The merger created GoldMine Software Corporation, the world’s largest mid-market supplier of sales force automation (SFA), marketing, customer support, and help desk technology, collectively known as Customer Relationship Management (CRM) solutions.

This product makes it easy for the support center manager to ask and answer the key business questions that are instrumental to running a world-class operation. HEATWeb allows access from any web-enabled workstation. Telephony integration enables PC-based call management and automatically fills new tickets with caller information.

IV. The Market
GoldMine Software Corporation is the mid-market leader in providing CRM solutions. According to a recent profile authored by the Aberdeen Group, the recent merger resulted in the creation of the mid-market CRM leader in terms of both combined revenues more than $50 million and the company’s installed base of more than 660,000 users.
The mid-market consists of companies with annual revenues of $2 million to $500 million and as few as 10 CRM end-users up through a few hundred. Middle market CRM end-user companies are smaller in size and scope than enterprise level entities and can adapt their business activities to fully customizable, out-of-the-box CRM solutions priced at less than $1,000 dollars per seat.
This differs from the enterprise market, which is comprised of Fortune 500 type companies with minimum revenues of $500 million per year, end-users who range in number from a few hundred to a few thousand and CRM solutions that are priced at thousands of dollars per seat.
Currently, GoldMine users number more than half a million and 40 percent of Fortune 100 companies use HEAT at the departmental level. For the second consecutive year, an independent study by Strategies for Growth found that 98 percent of HEAT users would recommend it to others.
